Pre decision stage
At this stage the client will be trying to get a rough idea of what the potential opportunities would be should the acquisition or merger proceed. The timing for analysis will normally be very short (one to two days) and the access to individuals from the target company will be extremely restricted.
The focus for the consultant at this stage will be to develop a top line picture of:
- The procurement opportunities available should the merger / acquisition proceed.
- The effectiveness of procurement within the target company.
- Cultural issues that will arise as a consequence of the change.
Due diligence stage
Once the decision to proceed has been taken, the due diligence process begins. The focus of the client company here is to ensure that all aspects of the business are investigated in some depth leading to a very clear and objective view of the target company operations, business and finances as well as developing the view of the synergy opportunities. We are looking here to shake ALL of the skeletons from the closets. There will generally be more access to people and information in this stage.
As more information and time will be made available for organisational review than in the pre decision stage, a more detailed and clearer view will be available for:
- The procurement opportunities available should the merger / acquisition proceed
- The effectiveness of procurement within the target company.
- Cultural issues that will arise as a consequence of the change.
Post merger management
Following the acquisition of or merging with the target company, the focus of this stage is making sure that the benefits identified within due diligence are effectively delivered or surpassed. This stage is critical to publicly listed companies as the focus of the City will be heavily on how quickly and well the benefits are delivered. The CEO will be firmly in the spotlight.
